1. Introduction

These Terms of Service (“Terms”) govern your participation in the Card Codex Affiliate Programme (the “Programme”). By applying to or participating in the Programme, you agree to be bound by these Terms.

The Programme is operated by Card Codex (“Card Codex,” “we,” “us,” or “our”). References to “you” or “your” in these Terms mean the affiliate applicant or approved affiliate.

If you do not agree to these Terms, do not apply to or participate in the Programme.

2. Definitions

In these Terms:

  • “Affiliate” means an individual or entity approved to participate in the Programme.
  • “Affiliate Link” means the unique, trackable URL or coupon code assigned to you by Card Codex.
  • “Card Codex Pro” or “Pro” means the paid subscription service offered by Card Codex.
  • “Commission” means the financial payment owed to you for qualifying referrals, as set out in Section 6.
  • “Referral” means a new Card Codex user who subscribes to Pro after clicking your Affiliate Link, within the cookie window defined in Section 7.
  • “Active Referral” means a Referral who is currently paying for a Pro subscription and is not within a refund or chargeback period.
  • “Free Trial” means the promotional trial period offered by Card Codex from time to time, currently consisting of a 7-day free trial available on eligible monthly Pro subscriptions.

3. Eligibility

To be eligible for the Programme, you must:

3.1. Be at least 18 years old, or the legal age of majority in your country of residence, whichever is higher.

3.2. Have a publicly verifiable presence on YouTube, TikTok, or Instagram with at least 500 followers on a single platform (not aggregated across platforms).

3.3. Provide accurate, current, and complete information during the application process and keep that information up to date.

3.4. Have the legal capacity to enter into a binding agreement.

3.5. Not be a resident of, or located in, any country subject to sanctions or trade embargoes by the United Kingdom, United States, or European Union.

3.6. Not be a current or former employee of Card Codex, nor an immediate family member of a current or former employee, unless explicitly approved in writing.

We reserve the right to approve or reject any application at our sole discretion. Approval into the Programme is not guaranteed.

4. Account responsibilities

4.1. You are responsible for maintaining the confidentiality of your Programme account credentials.

4.2. You are responsible for all activity that occurs under your account.

4.3. You must promptly notify us of any unauthorised use of your account or any other breach of security.

4.4. You may not transfer, sell, sublicense, or otherwise assign your account or your Programme rights to any third party without our prior written consent.

4.5. One person or legal entity may only operate one Programme account. We reserve the right to suspend or terminate duplicate accounts.

5. Promotion rules

5.1. Permitted promotion. You may promote Card Codex Pro through your own owned or controlled channels, including but not limited to your website, blog, social media accounts, YouTube channel, podcast, newsletter, and Discord server.

5.2. Disclosure requirements. You must clearly and conspicuously disclose your affiliate relationship with Card Codex in any promotional content, in line with the requirements of:

  • The Federal Trade Commission (FTC) in the United States, where applicable.
  • The Advertising Standards Authority (ASA) and Competition and Markets Authority (CMA) in the United Kingdom, where applicable.
  • The equivalent regulator in your country of residence or where your audience is located.

Standard disclosure language such as “#ad,” “Paid partnership,” “Affiliate link,” or “This post contains affiliate links” is acceptable, provided it is visible and not obscured.

5.3. Prohibited promotion. You must not:

(a) Bid on, purchase, or run paid search advertising on any keyword that includes “Card Codex,” “Card-Codex,” common misspellings, or our trademarks.

(b) Use deceptive, misleading, or false claims about Card Codex, its features, pricing, or performance.

(c) Spam any individual, mailing list, forum, comment section, or messaging platform with your Affiliate Link.

(d) Promote Card Codex through any channel that contains, links to, or supports: hate speech, harassment, adult content, pirated or counterfeit goods, illegal activity, violence, or other content that would reasonably be considered harmful or unlawful.

(e) Use cookie-stuffing, link-cloaking, fake redirects, malware, pop-unders, or any other technical means to artificially generate clicks, impressions, or attributions.

(f) Misrepresent yourself as Card Codex, a Card Codex employee, or an official Card Codex partner beyond what is true under these Terms.

(g) Register or attempt to register any domain name, social media handle, or trademark containing “Card Codex” or any confusingly similar term.

(h) Submit your Affiliate Link or use it on coupon, deal, or cashback websites without our prior written consent.

(i) Make any representation or warranty about Card Codex Pro beyond the public claims found on card-codex.com.

5.4. Self-referrals. You may not use your own Affiliate Link to subscribe to Card Codex Pro yourself, nor may you direct family members, household members, or other accounts you control to do so. Suspected self-referrals will be voided and the associated Commission forfeited.

5.5. Content ownership and accuracy. You are solely responsible for the content of your promotional materials. You must ensure that all claims about Card Codex are accurate and supported by information published on card-codex.com or provided to you by us in writing.

6. Commission

6.1. Commission Structure.

For Referrals who subscribe to the monthly Pro plan:

(a) Affiliates will earn a one-time signup commission of $5 USD when the Referral successfully converts from any Free Trial period to a paid monthly Pro subscription.

(b) The signup commission becomes payable once the Referral has remained subscribed for at least 30 days following their first successful monthly payment and is not subject to any refund, chargeback, or dispute.

(c) Following payment of the signup commission, Affiliates will earn recurring commission equal to 25% of the monthly Pro subscription fee. At the current monthly Pro price of $5 USD, this equates to $1.25 USD per month for as long as the Referral maintains an active paid monthly Pro subscription.

For Referrals who subscribe to the annual Pro plan:

(d) Affiliates will earn a one-time signup commission of $5 USD when the Referral successfully purchases an annual Pro subscription.

(e) The signup commission becomes payable once the Referral has remained subscribed for at least 30 days following successful payment of the annual subscription and is not subject to any refund, chargeback, or dispute.

(f) Following payment of the signup commission, Affiliates will earn recurring commission equal to 25% of the annual Pro subscription fee. At the current annual Pro price of $48 USD, this equates to $12 USD per year.

(g) Annual recurring commission is earned upon each successful annual renewal, provided the Referral remains attributed to the Affiliate under these Terms.

Card Codex reserves the right to modify commission rates for future Referrals in accordance with Section 13.

6.2. Qualifying Referrals. A Referral qualifies for Commission only if:

(a) The Referral clicked your Affiliate Link and the click was tracked by our affiliate platform.

(b) The Referral subscribed to an eligible Pro subscription through the Affiliate Link within the 60-day cookie window.

(c) Where a Free Trial applies, the Referral successfully converted from the Free Trial to a paid Pro subscription.

(d) The Referral is not currently in a refund, chargeback, or dispute period.

(e) The Referral is not the same individual or entity as you, your immediate family, or any account you control.

(f) Free Trial users do not generate Commission unless and until they successfully convert to a paid Pro subscription.

6.3. Lifetime commission. Affiliates will continue to earn recurring Commission on qualifying Referrals for as long as the Referral maintains a continuous paid Pro subscription. Monthly Pro subscriptions generate recurring monthly Commission. Annual Pro subscriptions generate recurring Commission upon each successful annual renewal. If the Referral cancels and later resubscribes through any channel, attribution will only continue if the resubscription occurs via the original Affiliate Link within the applicable cookie window.

6.4. Cap. There is no cap on the total Commission you may earn through the Programme.

7. Tracking and attribution

7.1. Cookie window. When a user clicks your Affiliate Link, a tracking cookie is set in their browser for 60 days.

7.2. First-touch attribution. If a user clicks multiple affiliate links within the cookie window, the first affiliate’s link clicked is credited with any resulting subscription.

7.3. Tracking limitations. You acknowledge that: (a) Cookies may be cleared or blocked by the user, their browser, or third-party tools. (b) Cross-device tracking is not always reliable. (c) Card Codex is not liable for tracking failures caused by user behaviour, browser settings, or third-party technology outside our reasonable control.

7.4. Disputes. If you believe a Referral has not been correctly attributed to you, contact us at [email protected] within 30 days of the expected attribution. After 30 days, attribution disputes may not be reviewable.

8. Payment

8.1. Frequency. Commissions are paid on a monthly basis, with a 30-day clearing period to allow for refunds and chargebacks. Commissions earned in a given calendar month are paid out at the end of the following calendar month.

8.2. Method. Payments are made via PayPal or Stripe, at your election, to the verified payment account associated with your Programme account.

8.3. Minimum threshold. The minimum Commission balance required for payout is $25 USD (or local equivalent). Balances below the threshold roll over to the next payout period.

8.4. Currency. Commissions are calculated and paid in US Dollars (USD), regardless of the currency in which the Referral was billed.

8.5. Taxes and tax forms. (a) You are solely responsible for declaring and paying all taxes due on your Commissions in your country of residence. (b) Card Codex will issue tax forms (such as a US 1099 form for US-based Affiliates earning over $600 in a calendar year) where legally required. (c) Card Codex may withhold from your Commissions any tax we are legally required to withhold.

8.6. Withheld payments. We may withhold or delay payment of Commissions if: (a) We reasonably suspect fraud, breach of these Terms, or any unlawful activity. (b) Your account information (including payment details) is incomplete, inaccurate, or out of date. (c) We are required to do so by law or by a regulatory authority.

8.7. Chargebacks and refunds. If a Referral receives a refund, chargeback, or successful dispute, the associated Commission will be reversed and deducted from your next payout. Persistent or fraudulent chargebacks linked to your Affiliate Link may result in suspension from the Programme.

9. Relationship between parties

9.1. You are an independent contractor. Nothing in these Terms creates an employment relationship, agency, partnership, joint venture, or franchise between you and Card Codex.

9.2. You have no authority to make any statement, representation, warranty, commitment, or contract on behalf of Card Codex.

9.3. You may not publicly claim to be a Card Codex employee, official partner, sponsor, ambassador, or representative beyond what is accurate under these Terms.

10. Intellectual property

10.1. Limited licence to affiliates. Card Codex grants you a limited, non-exclusive, non-transferable, revocable licence to use: (a) Card Codex’s name, logo, and approved marketing assets (the “Marks”) (b) Screenshots, promotional graphics, and copy templates supplied through your affiliate dashboard

…solely for the purpose of promoting Card Codex Pro in accordance with these Terms.

10.2. Restrictions on use of Marks. You must not: (a) Modify, distort, or alter the Marks (b) Use the Marks in any way that suggests Card Codex endorses content, products, or services other than its own (c) Combine the Marks with any other logo, brand, or content in a way that could cause confusion (d) Use the Marks after termination of your participation in the Programme

10.3. Reservation of rights. All right, title, and interest in and to the Marks and all other Card Codex intellectual property remain with Card Codex. No rights are granted to you except as expressly set out in these Terms.

10.4. Your content. You retain ownership of any original content you create that incorporates or references Card Codex, subject to our right to require the removal of any content that violates these Terms.

11. Data protection

11.1. Card Codex processes affiliate personal data (name, email, payment details, follower data, etc.) in accordance with our Privacy Policy, available at card-codex.com/privacy-policy. By participating in the Programme, you consent to this processing.

11.2. If you collect personal data from your audience as part of your promotion of Card Codex (e.g., through your own newsletter, opt-in form, or community platform), you remain the data controller for that data and are responsible for compliance with applicable data protection laws (including the UK GDPR, EU GDPR, and CCPA where relevant).

12. Term and termination

12.1. Term. These Terms commence on the date your application is approved and continue until terminated in accordance with this Section.

12.2. Termination by you. You may terminate your participation in the Programme at any time by emailing [email protected] or closing your account through the affiliate dashboard.

12.3. Termination by us. We may suspend or terminate your participation in the Programme at any time, with or without notice, for any reason, including but not limited to: (a) Breach of these Terms (b) Fraud, fraudulent attribution, or other deceptive practices (c) Promotional activity that, in our reasonable judgement, damages or is likely to damage Card Codex’s brand or reputation (d) Inactivity for 12 or more consecutive months with no Active Referrals (e) Discontinuation of the Programme as a whole

12.4. Effect of termination. (a) Your Affiliate Link will be deactivated. (b) Any Commissions accrued but unpaid as of the date of termination will be paid in the next normal payment cycle, except where termination is due to breach of these Terms, fraud, or other unlawful conduct, in which case unpaid Commissions may be forfeited. (c) The licence granted in Section 10 immediately terminates, and you must promptly cease using any Card Codex Marks. (d) Sections 9, 10.3, 11, 13, 14, 15, 16, and 17 survive termination.

13. Changes to the Programme

13.1. Card Codex reserves the right to modify, suspend, or discontinue any part of the Programme at any time, including but not limited to the commission rate, cookie window, payment terms, eligibility criteria, and these Terms.

13.2. Material changes (defined as any change to the commission rate, payout structure, cookie window, or these Terms that materially reduces your rights or earnings) will be notified to you by email at least 30 days before the change takes effect.

13.3. Commissions on Referrals subscribed before the effective date of a material change will continue at the rate in effect at the time of their original subscription, for the duration of their continuous Pro subscription, unless otherwise expressly notified.

13.4. Non-material changes (such as clarifications, formatting changes, or updates that do not affect your earnings) may be made at any time and take effect immediately upon publication.

13.5. Continued participation in the Programme after the effective date of any change constitutes acceptance of the modified Terms.

14. Disclaimers

14.1. The Programme is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise.

14.2. Card Codex does not guarantee: (a) Any specific level of earnings or Commission (b) The accuracy, completeness, or reliability of tracking (c) Continuous, uninterrupted, or error-free operation of the affiliate platform (d) That any particular promotional method will produce results

14.3. To the maximum extent permitted by law, Card Codex disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

15. Limitation of liability

15.1. To the maximum extent permitted by law, Card Codex’s total aggregate liability to you arising out of or in connection with the Programme, these Terms, or your participation in the Programme is limited to the total Commissions paid to you in the 12 months immediately preceding the event giving rise to the liability.

15.2. In no event will Card Codex be liable for any indirect, consequential, incidental, special, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of goodwill, loss of opportunity, or loss of data.

15.3. Nothing in these Terms excludes or limits liability for: (a) Death or personal injury caused by negligence (b) Fraud or fraudulent misrepresentation (c) Any other liability that cannot be excluded or limited under applicable law

16. Indemnification

You agree to indemnify, defend, and hold harmless Card Codex, its officers, directors, employees, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

(a) Your breach of these Terms (b) Your promotional activities, including but not limited to any claim that your content infringes any third party’s intellectual property, privacy, or publicity rights (c) Your violation of any applicable law or regulation (d) Any misrepresentation or false statement you make about Card Codex

17. General provisions

17.1. Governing law. These Terms are governed by and construed in accordance with the laws of England and Wales.

17.2. Jurisdiction. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts of England and Wales.

17.3. Entire agreement. These Terms, together with our Privacy Policy and any documents referenced herein, constitute the entire agreement between you and Card Codex regarding the Programme and supersede any prior agreements or understandings.

17.4. Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

17.5. No waiver. Card Codex’s failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

17.6. Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Card Codex may assign these Terms freely.

17.7. Notices. Notices to you may be sent to the email address associated with your Programme account. Notices to Card Codex should be sent to [email protected].

17.8. No third-party beneficiaries. Nothing in these Terms confers any rights on any person who is not a party to these Terms.
